Terms & Conditions of Use
By accessing nylcos.com and using our marketplace, tools, and services (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.
These Terms form an agreement between you and Nylcos, LLC., a New York company, and include important provisions for resolving disputes through arbitration. By using our Services, you agree to these Terms.
Short legal notes
These Terms of Use is incorporated the Privacy Policy by reference.
Nothing in these Terms limits your rights under applicable law.
If any provision conflicts with local law, that law controls to the extent of the conflict.
Who we are
Nylcos is a multi-sided marketplace design to go beyond the neighborhood. Our mission is to build a community of vendors to make online buying safer, easier, and more accessible for everyone on a more wider broad. For more information about Nylcos, please visit https://nylcos.com/about-us.
Eligibity for Registration and Access
Minimum age. You must be at least 13 years old or the minimum age required in your country to consent to use the Services. If you are under 18 you must have your parent or legal guardian’s permission to use the Services.
Registration. You must provide accurate and complete information to register for an account and keep it updated to use our Services. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account and for safeguarding your credentials. If you create an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.
Suspension or Termination. If for any reason we have suspected any type of fraud/abuse, violation of our policy, non-payment of fees, or risks to users or the Nylcos itself, we may suspend or terminated your accounts with or without notice. If you have any suspension of children under 13 using our services unaccordingly to out policy, feel free to contact us at policy@nylcos.com.
Using our Services
What you can do. Subject to your compliance with these Terms, you may access and use our Services. In using our Services, you must comply with all applicable laws, and any other documentation, guidelines, or policies we (may) make available to you.
What you cannot do. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:
- Use our Services in a way that infringes, misappropriates or violates anyone’s rights.
- Modify, copy, lease, sell or distribute any of our Services.
- Attempt to assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including and not limited to our algorithms or systems (except to the extent this restriction is prohibited by applicable law).
- Automatically or programmatically extract data or Output.
- Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.
- List, sell, or purchase prohibited items (dangerous, illegal, or restricted goods; counterfeit; stolen; recalled items; or items otherwise barred by our policies).
- Post false, misleading, or deceptive content; engage in fraud, money laundering, or other harmful or unlawful conduct.
- Harass, threaten, or abuse others or use the Services for spam or unsolicited marketing.
We may remove or restrict content, listings, or accounts that violate these Terms or our policies. We may in exceptional case suspend of terminate any account suspected of violation any part of these Terms or our policies.
Third party Services. Our Services may include third party software, products, or services, (“Third Party Services”) and some parts of our services, like our browse feature, may include output from those services (“Third Party Output”). Third Party Services and Third Party Output are subject of their own terms, and we are not responsible for them.
Our Role
Marketplace platform. We provides a platform where sellers/independent vendors can list and manage their products and make it easier for buyers to transact aisle free. While we provides the platform, we do not own any listed product. If in the future we will have to own listing products, we will use our company name officially as shop name.
Quality guarantees. We do not offer any warranties, returns and compliance. Sellers are solely responsible for item descriptions, pricing, fulfillment, warranties, returns, and compliance (including prohibited items).
Tools & Facilitation. We may use third party tools to offer payments facilitation, shipment label purchase, messaging, reviews, discovery, and other tools for convenience. Third party tools we use provides their own terms and policies that we may follow.
Fees, Pricing and Taxes
Billing. When you purchase a products, you will ask provide complete and accurate billing information, including a valid payment method.
Listing fee. We do not collect fee per products listing for vendors. Listings remain active until sold or unlisted.
Transaction fee. We only collect a 5% + 2$ fee of the item price plus buyer-paid shipping. Apply only when a sales completes.
Changes. We may change fees or add new fees with reasonable notice or by posting updated terms.
Taxes. Vendors are responsible for determining, collecting, and remitting applicable taxes unless Nylcos is required by law to do so. Buyers are responsible for applicable taxes on purchases.
Orders, Shipping & Delivery
Vendor fulfillment. To assure an effective and reliable service, vendors must ship ordered items on time, provide buyers with valid tracking information, and assure packages safety.
Carriers. When may provide vendors the ability to self-ship items using their own USPS/UPS/FedEx accounts or purchase labels inside Nylcos. Provide tracking information and updates to buyers.
Risk of loss. Unless prohibited by law, risk of loss passes from vendor to buyer per the selected shipping method and carrier scan events. Vendors remain responsible for accurate addressing and timely dispatch.
Delays & exceptions. Carriers may delay or refuse shipments. We are not liable for carrier performance, but we may assist with status information or basic dispute guidance.
Returns, Refunds & Disputes
For every vendors/sellers and independent shoppers, must post a clear return/refund policies compliant with law on their shop profile. If buyers encounter order issues on a bought item (e.g., not received, not as described, damaged), buyers should contact the vendor first to dispute the issue. If disputes issue remain unresolved, buyers may escalate to us via support@nylcos.com.
Children
Our Services are not directed to, or intended for, children under 13. We do not knowingly collect Personal Data from children under 13. If you have reason to believe that a child under 13 has provided Personal Data to Nylcos through our services, please email us at privacy@nylcos.com. We will investigate any notification and, if appropriate, delete the Personal Data from our systems. Users under 18 must have permission from their parent or guardian to use our Services.
Payments and Payout
Payment and payout are processed by third-party payment processors, (including but not limited to Stripe). Payment methods we accept are Visa, MasterCard, We do not store full card numbers.
We are not responsible for third-party terms or privacy practices. Payout schedules may depend on the processor, buyer payment method, banking schedules and compliance checks.
Offsets & holds. We may place on holds or reserves, delay payouts, or offset amounts you owe (fees, refunds, penalties) where we reasonably believe the risk is present or as required by payment processors or law.
Your Use of Our Services
You agree that you will not violate any laws in connection with your use of the Services. This includes any local, state, federal, and international laws that may apply to you. For example, it’s your responsibility to obtain any permits or licenses that your shop requires, and to meet applicable legal requirements in applicable jurisdiction(s). This includes the sale and delivery of your items, such as age verification upon delivery, where required by law. You may not sell anything that violates any laws, and you may not engage in fraud (including false claims or infringement notices), theft, anti-competitive conduct, threatening conduct, or any other unlawful acts or crimes against Etsy, another Etsy user, or a third party.
Violating our Policies and Terms of Use, or third-party right, listing, selling or purchasing any prohibited items (dangerous, illegal, or restricted goods; counterfeit; stolen; recalled items; or items otherwise barred by our policies), Post false, misleading, or deceptive content; engage in fraud, money laundering, or other harmful or unlawful conduct, interference with the Services, bypassing security measures in place, scrape/crawl without permission, or reverse engineer except as allowed by law, harassing, threatening, or abusing others or use the Services for spam or unsolicited marketing, we may take measure to remove or restrict content, listings, or accounts that violate these Terms or our policies.
Content
Your content. You retain ownership of content you submit (photos, descriptions, reviews, messages). You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.
Our use of content. We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe.
Moderation. We may remove or modify content that we reasonably believe violates these Terms or our policies, or creates risk of harm or liability.
Accuracy. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial.
When you use our Services you understand and agree:
- Vendors/sellers may provide incomplete, incorrect, or offensive description that does not represent Nylcos’s views.
Our Intellectual Property rights
We and our affiliates own all rights, title, and interest in and to the Services (including the site design, logos, and code). You may not copy, distribute, or create derivative works except as permitted by these Terms or with our prior written consent.
Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect information. By using the Services, you consent to our privacy practices.
Termination and suspension
Termination By You. You may terminate your account at any time from your account settings. Terminating your account will not affect the availability of some of Your Content that you posted through the Services prior to termination. Any outstanding pay bills will have to be pay.
Terminated account may lose any information associated with them.
Termination By Us. We may terminate or suspend your account (and any accounts we determines are related to your) and your access to the Services at any time we believe that your activity violates these “Terms of Use” pose a risk, or cause potential liability. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services, for example, to sell or buy on our websites or mobile apps. We will notify you that your account has been terminated or suspended, unless you’ve repeatedly violated our Terms or we have legal or regulatory reasons preventing us from notifying you.
We reserve the right to change, suspend, or discontinue any of the Services that you, any or all users, at any time, for any reason. We will not be liable to you for any effect that any changes may have on you, including your income or your ability to generate revenue through the Services.
Warranties and Limitation of Liability
You understand that we do not manufacture, store, or inspect any of the items sold through our Services. We provide the venue; the items in our marketplaces are produced, listed, and sold directly by independent sellers, we cannot and do not make any warranties about their quality, safety, authenticity, or their legality. If you have reason to believe a seller violated any parts of our Terms, please to contact support@nylcos.com. Any legal claim related to an item you purchase must be brought directly against the seller of the item. By accepting our Terms, you release us from any claims related to items sold through our Services, including for defective items, misrepresentations by sellers, or items that caused physical injury (like product liability claims).
You may come across materials that you find offensive or inappropriate while using our Services. We make no representations concerning any content posted by users through the Services. We are not responsible for the accuracy, copyright compliance, legality, or decency of content posted by users that you accessed through the Services.
You can use the Services to interact with other individuals. However, you understand that we do not screen users of our Services other than to meet certain compliance and legal obligations, and you release us from all liability relating to your interactions with other users. Please be careful and exercise caution and good judgment in all interactions with others.
Changes to these Terms
We reserve the right to modify these Terms at any time, and any changes will be effective immediately upon posting the modified Terms on our website. Your continued use of our Services after the posting of any changes to these Terms will constitute your acceptance of such changes.
Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any posted policies (e.g., Seller Policy, Prohibited Items), constitute the entire agreement between you and Nylcos regarding the Services.
Severability. If any provision is unenforceable, the remaining provisions remain in effect.
Assignment. You may not assign these Terms without our consent. We may assign these Terms as part of a reorganization, merger, or asset transfer.
No waiver. Our failure to enforce any provision is not a waiver.
Notices. We may provide notices, or updates electronically (site banner, dashboard, email) or by mail.
